Welcome to HelloMyGuest ("HMG," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Service"). By using or accessing our Service, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

We reserve the right to modify, update, or change these Terms at any time. We will notify you of any significant changes by posting the new Terms on our website. Your continued use of the Service after any such changes have been posted constitutes your acceptance of the revised Terms.

3. Description of the Service

HelloMyGuest provides a platform that allows property owners (such as Airbnb or hotel owners) to:

  • Create an account and register their properties (including relevant details like latitude, longitude, images, logos, and descriptions).
  • Upload and manage property information (e.g., house rules or other relevant details) that can be shared with guests.
  • Generate a QR code for each property so that guests can easily access property-specific information.
  • Earn commissions through affiliate partnerships with third-party activities or services recommended to guests.

4. User Eligibility

  • You must be at least 18 years of age or the age of majority in your jurisdiction to create an account and use the Service.
  • You represent and warrant that you have the full right, power, and authority to enter into and comply with these Terms.

5. Accounts and Registration

  • Account Creation: To access certain features of the Service, you must register for an account. You agree to provide accurate and complete information during the registration process and to keep this information updated.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Limit of 10 Properties: Each user may register up to ten (10) properties on their HelloMyGuest account. If you exceed this limit, HelloMyGuest reserves the right to restrict or terminate your access or require you to upgrade your account or subscription plan (if available).

6. User-Generated Content

  • Responsibility for Content: As a property owner, you may upload and display information about your properties, including house rules, images, or other content (collectively, "User Content"). You acknowledge that you are solely responsible for the legality, reliability, and appropriateness of any User Content you upload.
  • Prohibited Content: You agree not to upload any content that is illegal, harmful, offensive, or violates the rights of any third party.
  • Right of Admission / Content Removal: HelloMyGuest reserves the right of admission and may, at its sole discretion, remove, block, or restrict access to any User Content that violates these Terms.

7. Commissions and Payments

  • Affiliate Commissions: As a property owner, you may earn commissions from third-party activities or services recommended to guests through our platform.
  • Commission Split: You will receive 50% of the commission generated by the platform in affiliation through activities booked by your guests.
  • Withdrawal Threshold: You may only withdraw your earned commissions once your account balance exceeds $50.
  • Payment Terms: You are responsible for providing accurate payment details.

8. Loss of Information

HelloMyGuest does not guarantee the preservation of any information uploaded to our platform. While we take reasonable steps to secure your data, we are not responsible for any loss of information that may occur if data is deleted, whether intentionally or accidentally.

9. Disclaimer of Responsibility for User Content

HelloMyGuest is not responsible for the information that owners share within their properties or through the platform. Any statements, opinions, or information provided by users are solely those of the respective user.

10. Intellectual Property

  • Ownership: All content and materials provided on the Service, excluding User Content, are the property of HelloMyGuest or our licensors.
  • License: Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable license to access and use the Service.

11. Termination

  • Termination by HelloMyGuest: We reserve the right to suspend or terminate your account at any time for any reason.
  • Termination by You: You may terminate your account at any time by following the instructions on our website.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. HelloMyGuest disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, HelloMyGuest shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

14. Indemnification

You agree to indemnify and hold harmless HelloMyGuest from any claims arising from your use of the Service, your User Content, or your violation of these Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Estonia. You agree to submit to the exclusive jurisdiction of the courts located in Estonia.

16. Entire Agreement

These Terms constitute the entire agreement between you and HelloMyGuest regarding the Service and supersede any prior agreements.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
